These Terms of Service ("Terms") govern your access to and use of the Lunexa platform, including our website, dashboard, APIs, and related services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Lunexa", "we", "us", or "our" refers to Lunexa and its operators.
  • "User", "you", or "your" refers to any individual or entity accessing the Service.
  • "Account" refers to the user account you create to access the Service.
  • "Content" refers to data, documents, text, and other materials you upload or process through the Service.

2. Account Registration

To use certain features of the Service, you must create an account. You agree to provide accurate, complete, and current information during registration and to keep your account information updated. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

You must be at least 18 years old or the age of majority in your jurisdiction to create an account. By creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Attempt to gain unauthorized access to the Service, other accounts, or related systems.
  • Reverse engineer, decompile, or disassemble any part of the Service.
  • Use the Service to transmit malware, viruses, or other harmful code.
  • Resell, sublicense, or redistribute the Service without our prior written consent.
  • Use automated means to scrape, crawl, or extract data from the Service beyond normal API usage.

4. Service Plans and Billing

Lunexa offers free and paid subscription plans. Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in these Terms.

  • You authorize us to charge your payment method for recurring subscription fees.
  • Prices may change with 30 days' prior notice. Continued use after a price change constitutes acceptance.
  • Overages beyond your plan's included quotas will be billed at the rates specified on our pricing page.
  • You may upgrade, downgrade, or cancel your plan at any time through the dashboard.
  • Upon cancellation, your access continues until the end of the current billing period.

5. Your Content

You retain all rights to the Content you upload to the Service. By using the Service, you grant us a limited license to process, store, and display your Content solely for the purpose of providing the Service to you. We do not claim ownership of your Content.

You are solely responsible for ensuring that your Content does not violate any applicable laws, third-party rights, or these Terms. We reserve the right to remove Content that violates these Terms.

6. Intellectual Property

The Service, including its design, features, documentation, and underlying technology, is owned by Lunexa and protected by intellectual property laws. These Terms do not grant you any rights to our trademarks, logos, or brand features.

7. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the practices described in the Privacy Policy.

8. Availability and Support

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform scheduled maintenance with reasonable advance notice. Support is provided based on your subscription plan level.

9. Limitation of Liability

To the maximum extent permitted by law, Lunexa shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or business opportunities arising from your use of the Service.

Our total liability for any claim arising from or related to these Terms or the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Indemnification

You agree to indemnify and hold harmless Lunexa, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service, your Content, or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time through the dashboard settings. Upon termination, your right to use the Service ceases immediately, and we may delete your Content after a reasonable retention period.

13. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
